Conditions of membership of the Space Citizen Club
Version of 16 September 2026.
These conditions govern application to and membership of the Space Citizen Club. They are written to be read: each article says one thing, without needless jargon.
Article 1: Who contracts with whom.
The Space Citizen Club (“the Club”) is a community facilitated by Nicolas Humeau, a natural person and publisher of the website spacecitizen.eu (“the facilitator”). Contact: c/o Ventura Nova, 60 rue François 1er, 75008 Paris; contact@spacecitizen.eu.
The Club has no legal personality: it is neither a company nor an association. Your membership forms a contract between you and the facilitator and creates no legal relationship between members: it entails no partnership between them, no joint ownership, no agency relationship and no authority to bind the facilitator or another member.
Article 2: What the Club is, and what it is not.
The Club brings together people who wish to understand the space sector and European DeepTech, to engage with these fields and, when the time comes, to co-invest, transaction by transaction, each on their own account.
The Club is neither a fund, nor a financial product, nor a collective investment scheme: your membership does not constitute a subscription for any securities and confers no financial rights on you. The facilitator provides no investment advice, no personalised recommendation, and receives no funds.
No investment transaction takes place on the website: no subscription, no payment, no promise of allocation. Any investment decision, should you ever make one, is yours alone and falls within frameworks separate from these conditions, which would be presented to you when the time comes.
Article 3: Who may apply.
Application is open to adult natural persons with full legal capacity who are acting on their own account. By applying, you warrant the accuracy of the information you provide and undertake to keep it up to date throughout your membership.
Article 4: Application and admission.
You apply through the website; the facilitator reviews each application individually. Admission is discretionary: it may be refused without giving reasons, and refusal gives no right to compensation.
Your application includes acceptance of these conditions, in the latest version presented to you and recorded with your application; without this acceptance, no admission is possible. The contract is formed upon admission on that version, and any later version is notified to you and, where applicable, submitted for your acceptance, under the conditions of article 17.
You will be notified of admission by email, which opens access to the member area. Admission to the Club does not give you access to any transaction: each potential transaction is presented separately to the members concerned (article 7).
Article 5: Free of charge.
Membership is free of charge. It creates no obligation to invest, no obligation to contribute, and no financial commitment of any kind towards the facilitator or the other members. Conversely, it guarantees no access to any transaction, no priority and no financial advantage.
Article 6: Member area.
The member area is a space for information and belonging: it contains your member identity (number and cohort), Club content and a way to write to us.
Access is strictly personal: it is granted via a login link sent to your email address, which you undertake not to share. You notify us without delay of any use you have not authorised. The facilitator endeavours to keep the area accessible, without guaranteeing permanent availability.
Article 7: Transaction announcements.
By joining, you agree to receive, in the member area and by email, announcements relating to co-investment transactions. These announcements are addressed individually: each transaction is presented separately and only to the members concerned, and not receiving an announcement does not constitute a breach of any obligation towards you.
An announcement is neutral information: it constitutes neither an offer, nor advice, nor an inducement to invest, and acting on it is always optional. The conditions of any participation in a transaction are not covered by these conditions: they would be presented to you, when the time comes, within the framework specific to each transaction.
You may suspend receipt of announcements at any time, from the member area or by writing to us; this suspension does not end your membership.
Article 8: Information for members.
For each transaction presented, a dedicated space gathers the relevant information. Important information communicated about a transaction is made available, in that space, to all members to whom the transaction is presented: this is the reference channel, and individual exchanges cannot create information reserved for some of them.
Article 9: Confidentiality.
Transaction announcements, documents presenting opportunities and, more generally, non-public information received as part of the Club are confidential. You undertake not to disseminate, publish or pass them on to third parties, nor to use them for any purpose other than your own assessment, during your membership and for three years after it ends.
This undertaking does not apply to information that has become public through no fault of yours, nor to information the law requires you to disclose, in which case you inform us where permitted.
Article 10: Voluntary contributions.
The Club values its members' contributions (expertise, introductions, recruitment, visibility). They are voluntary: each member chooses their level of involvement, and no contribution is a condition of admission, of remaining in the Club or of access to anything. Contributions are not remunerated.
Article 11: Conduct and exclusion.
You undertake to behave loyally and respectfully within the Club. Breaches include, in particular: false statements in the application or during membership, disclosure of confidential information, use of the member area to solicit other members, and any abusive behaviour towards the facilitator or a member.
In the event of a breach, the facilitator may exclude you after inviting you to present your explanations; in the event of a serious breach, exclusion may be immediate. Exclusion is notified by email and closes access to the member area; articles 9 and 14 continue to apply.
Article 12: Ending your membership.
You may end your membership at any time, without giving a reason or prior notice, from the member area or by writing to us. Ending your membership takes effect immediately and closes access to the member area.
This permanent right to leave neither replaces nor restricts any right of withdrawal that may, where applicable, apply. Articles 9 and 14 survive the end of your membership.
Article 13: Invitations.
If an invitation feature is offered, it only allows you to suggest that a person apply to the Club. The invitee follows the normal application process, without any particular right, and no consideration, financial in particular, is ever attached to an invitation or to any investments whatsoever.
Article 14: Personal data.
The processing of your application, and then of your membership, is necessary for the performance of these conditions and of the steps preceding them, taken at your request. The details (data collected, retention periods, recipients, rights and how to exercise them) are set out in the website's privacy policy, which forms part of the information provided to you and which these conditions do not duplicate.
Article 15: Content and intellectual property.
Club content (texts, documents, identity elements) remains the property of its authors or of the facilitator. You may consult and use it for your personal use as a member, to the exclusion of any public or commercial reuse without consent.
Article 16: Undertakings and liability.
The facilitator runs the Club conscientiously and in good faith: selection of applications, facilitation of the community, information for members. The facilitator must act with reasonable care and diligence, rather than guarantee a particular result. Club content is provided for information purposes and is not guaranteed to be exhaustive.
Nothing in these conditions limits the rights the law grants you or the facilitator's liability in the event of proven fault; the facilitator is not liable for investment decisions you may take within the separate frameworks mentioned in article 7.
Article 17: Amendment of the conditions.
These conditions may change, in particular when the Club reaches a new stage. Any amendment is notified to you by email and in the member area at least fifteen days before it takes effect, together with the new dated version.
Amendments affecting your contractual rights or obligations require your express acceptance. If you do not accept a proposed amendment, the conditions in force continue to govern your membership. You remain free to end your membership at any time under the conditions of article 12. Silence or continued membership does not constitute acceptance of such amendments.
Article 18: Applicable law, disputes and miscellaneous.
These conditions are governed by French law. This choice does not deprive you of the protection afforded to you by the mandatory provisions of the law of the country of your habitual residence that would apply in the absence of this choice. In case of difficulty, write to us first at contact@spacecitizen.eu: we will seek an amicable solution and reply within a reasonable time.
As membership is free of charge, it does not currently fall within the French consumer mediation scheme, designed for disputes arising from contracts for the sale of goods or the supply of services concluded for consideration. This does not deprive you of any mandatory right to out-of-court dispute resolution available to you under the applicable law. If paid services were ever offered, a consumer mediator would be appointed and these conditions updated accordingly.
Failing an amicable solution, the competent courts are determined by the legal rules, without depriving the member of the protections they enjoy as a consumer. Electronic exchanges between you and the facilitator constitute evidence between the parties. If any provision of these conditions were declared void, the others would remain applicable. Failure to rely on a breach does not constitute a waiver of the right to rely on it later.
